These Terms & Conditions govern your use of the Desivo Consulting Group website (desivo.de) and the Desivo Client Portal, operated by Pluco Groups SP.ZOo, Ksawerow 3, 02-656 Warsaw, Poland ("Desivo", "we", "us").
By accessing our website or registering a client account, you ("the Client") accept these terms in full. If you do not agree, you must not use our services or portal.
Desivo provides business consulting services including, but not limited to: digital marketing strategy, business process automation, European market expansion advisory, and digital transformation consulting.
The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Service Agreement signed between Desivo and the Client. These Terms & Conditions apply alongside, and are supplementary to, any such Service Agreement. In the event of conflict, the signed Service Agreement takes precedence.
Access to the Desivo Client Portal is granted exclusively to registered companies that have entered into a consulting engagement with Desivo. The portal provides access to project status information, invoice records, contracts, and activity reports related to your engagement.
You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@desivo.de if you suspect unauthorized access to your account. Desivo reserves the right to suspend or terminate portal access at any time, without prior notice, in cases of misuse or breach of these terms.
Consulting fees are as agreed in the applicable Service Agreement. Unless otherwise stated, invoices are due within 14 calendar days of the invoice date. Late payments may be subject to statutory interest as provided under Polish and applicable European Union law.
All prices are stated exclusive of applicable VAT unless expressly indicated otherwise. Desivo reserves the right to adjust pricing with 30 days' notice prior to the renewal of any ongoing engagement.
Unless expressly agreed otherwise in a Service Agreement, all methodologies, frameworks, templates, and proprietary tools developed or used by Desivo remain the intellectual property of Desivo. Deliverables created specifically for the Client and paid in full are assigned to the Client upon receipt of full payment.
The Client grants Desivo a non-exclusive license to use the Client's name and logo for referencing the engagement as a case study or in Desivo marketing materials, unless the Client opts out in writing.
Both parties agree to keep confidential all proprietary and sensitive information disclosed during the engagement. This obligation survives termination of the engagement for a period of three (3) years. Desivo will not disclose Client-specific data to third parties without the Client's prior written consent, except where required by law.
Desivo's liability for direct damages arising from a consulting engagement is limited to the fees paid by the Client for the specific deliverable giving rise to the claim during the three (3) months preceding the claim.
Desivo is not liable for indirect, incidental, or consequential damages, including loss of profits, business interruption, or reputational harm. Business outcomes depend on a variety of external factors beyond Desivo's control, and Desivo does not guarantee specific revenue, sales, or growth outcomes.
Either party may terminate an ongoing engagement by providing 30 days' written notice. Work completed and expenses incurred up to the termination date are payable by the Client. Desivo reserves the right to terminate immediately in the event of material breach by the Client, non-payment exceeding 30 days, or conduct deemed harmful to Desivo's reputation or operations.
These Terms & Conditions are governed by the laws of Poland and, where applicable, the law of the European Union. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Warsaw, Poland, unless mandatory consumer protection law in the Client's country of residence provides otherwise.
Desivo reserves the right to update these Terms & Conditions at any time. Material changes will be notified to registered clients via email. Continued use of the client portal after the effective date of changes constitutes acceptance of the updated terms.
